Terms of Service

By accessing or using the Nexus Content Engine application at app.ecuacionesdiferencialesaplicaciones.com ("the Application", "Nexus", "we", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Application.

Nexus is a SaaS content automation platform that enables users to:

• Generate videos and images using AI (Fal.ai / Flux Pro)
• Generate persuasive social media copy using AI (OpenRouter)
• Publish content directly to multiple social media platforms
• Schedule future publications
• Manage multi-channel content workflows from a single dashboard

3.1 Minimum Age

You must be at least 18 years old to use this Application.

3.2 Account Responsibility

• You are responsible for maintaining the security of your account credentials.
• Do not share your login information with third parties.
• Notify us immediately if you detect unauthorized access to your account.

3.3 Acceptable Use

You MAY:

• Generate educational, informational, or commercial content
• Publish content to your own social media accounts
• Use AI-generated content for lawful commercial purposes

You MAY NOT:

• Generate illegal, defamatory, or rights-infringing content
• Send spam or mass unsolicited content
• Attempt to hack, overload, or damage the Application
• Resell or sublicense access to the Application without authorization
• Violate the Terms of Service of third-party APIs (TikTok, X, Meta, YouTube, etc.)
• Generate content depicting minors, violence, or explicit material
• Use the platform for any activity that violates applicable laws

4.1 OAuth Authorization

When you connect a social media account:

• You authorize the Application to publish content on your behalf
• You can revoke access at any time through the connected platform's settings
• You remain solely responsible for all content published to your accounts

4.2 Third-Party Terms Compliance

By using our integrations, you must also comply with:

• TikTok Terms of Service
• X / Twitter Terms of Service
• Meta Terms of Service
• BlueSky Terms of Service
• YouTube Terms of Service

4.3 Consequences of Violations

Violations of third-party terms may result in:

• Suspension or termination of your social media account by the platform
• Suspension or termination of your Nexus account
• Direct legal liability to you

5.1 Nature of AI Content

Content generated through Nexus is produced by artificial intelligence models. While we strive for quality, AI-generated content may contain inaccuracies, biases, or unintended outputs. You are responsible for reviewing all generated content before publication.

5.2 No Guarantee of Accuracy

We do not guarantee that AI-generated text, images, or videos are factually accurate, free from bias, or suitable for any particular purpose. You must verify content before use.

6.1 Third-Party API Costs

The Application uses paid third-party APIs. Costs vary by usage and plan tier.

6.2 Usage Limits

Your plan includes monthly usage limits. Exceeding limits may result in:

• Additional charges per overage usage
• Temporary suspension until the next billing cycle

6.3 Refunds

Fees are non-refundable except where required by applicable law. Unused credits or time do not carry over.

7.1 AI-Generated Content Ownership

• Generated videos/images: You retain rights to use content you generate, subject to the underlying AI model licenses.
• Generated copy: You retain rights to use text content you generate.

7.2 Content Responsibility

You are responsible for:

• Ensuring generated content does not infringe third-party copyrights or trademarks
• Obtaining necessary permissions for brand or identity references
• Complying with advertising, marketing, and disclosure laws

7.3 Application Ownership

The code, design, and functionality of Nexus are the property of Manuel Vivas / Antigravity. You may not copy, modify, reverse-engineer, or redistribute any part of the Application.

8.1 "As Is" Disclaimer

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 We Are Not Liable For:

• Loss of data or content
• Suspension of your social media accounts due to your content or activities
• Errors, inaccuracies, or biases in AI-generated content
• Third-party API failures (Fal.ai, OpenRouter, TikTok, X, Meta, YouTube, etc.)
• Loss of revenue, profits, or any indirect, incidental, or consequential damages
• Service interruptions, downtime, or data breaches beyond our reasonable control

8.3 Maximum Liability

Our total aggregate liability for any claims arising from your use of the Application shall not exceed the amount you paid us in the three (3) months preceding the claim.

9.1 We May Suspend or Terminate Your Account If:

• You violate these Terms
• We detect fraudulent activity or abuse
• You fail to pay outstanding invoices
• You violate third-party API terms

9.2 Voluntary Cancellation

You may cancel your account at any time from your Dashboard settings. No refunds are provided for unused time or credits.

9.3 Effect of Termination

• Your data will be deleted within 30 days of termination
• You lose access to the Application immediately upon termination
• Content already published to social media remains under your control on those platforms

You agree to indemnify, defend, and hold harmless Manuel Vivas, Antigravity, and the Application from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Application
• Your violation of these Terms
• Your violation of any third-party rights
• Content you generate, publish, or distribute using the Application

We reserve the right to modify these Terms at any time. We will notify you of material changes via email at least seven (7) days in advance. Your continued use of the Application after changes take effect constitutes acceptance of the updated Terms.

These Terms shall be governed by and construed in accordance with the laws of the Bolivarian Republic of Venezuela, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration.

• Entire Agreement: These Terms constitute the complete agreement between you and Nexus.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Severability: If any provision is found invalid, the remaining provisions remain in full force.
• Assignment: You may not assign your rights under these Terms without our prior written consent.
